Board of Directors


The governing board of UPA is known as the Board of Directors. It consists of the Executive Board (President, Past-President, President-Elect, Secretary and Treasurer), five Members-at-Large; a Student Representative; a Student Representative-Elect; and the Representative to the Council of Representatives of the American Psychological Association. The Executive Director and the Director of Professional Affairs are ex-officio members of the Board. It is the duty of the Board of Directors to approve a budget; to conduct the business of the Association in the interim between meetings of the Association; to carry out the wishes of the Association as expressed by the members at meetings of the Association; to appoint committees and approve of committee chairpersons and committee members; and to take such other actions as may be appropriate to further the purposes of the Association. The Board of Directors may adopt no resolutions and policies for the regulation and management of the Association which are not consistent with the law, Articles of Incorporation, and Bylaws.



It shall be the duty of the President to preside at all meetings; to act as chair of the Board of Directors and as a member of all committees with full voting privileges; to review the job performance of the Executive Director and the Director of Professional Affairs; to exercise supervision over the affairs of the Association with the approval of the Board of Directors; to recommend members of standing committees and to fill vacancies on such committees when they occur with the approval of the Board of Directors; and to perform such other duties as are pertinent to the office of President.

The President shall take care to closely inform and counsel the President-Elect on all issues of importance.


The President Elect assumes the Presidency of UPA after a year of occupying this position. The President-Elect attends monthly meetings, provides opinions to the Board, and is a resource for other Board Members. One of the main roles of the President-Elect is to assume the role of President in the event that the current president is unable to attend meetings or is not able to complete his/her term. Should the President be unable to continue as the President, it would then be the job of the President-Elect to take over the Presidency. The President-Elect prepares for the Presidency by creating plans to enact after occupying the position of President.

Past President

The Past President shall succeed to that office upon the completion of a term as President. The Past President shall serve as chairperson of the Nominating and Awards Committee, and as a member of the Legislative and Ethics Committees.


The secretary serves as a member on the UPA Board of Directors. The Secretary attends Board Meetings, Executive Committee Meetings, Annual Retreat, and The Annual UPA Business Meeting. Responsibilities includes taking and preparing the minutes of each monthly Executive Committee, Board, and Business meetings. The secretary shall make all corrections recommended for minutes and submit identified corrected accurate copies to the President and Executive Director for distribution to board members and files. The secretary shall also help the Nominating Committee count ballots for UPA elections.


The Treasurer shall oversee all the funds of the Association, including collecting dues and paying accounts owed by the Association upon authorization from the Board of Directors. The Treasurer shall keep full and accurate accounts of all receipts and disbursements by the Association. The Treasurer shall be in charge of the development of a budget for each fiscal year and shall chair the Finance Committee.


Member’s-at-Large are members of the Board who also occupy positions on UPA committees.

APA Counsel Representative

The Council of Representatives is the legislative body of APA and has full power and authority over the affairs and funds of the association within the limitations set by the certificate of incorporation and the Bylaws, including the power to review, upon its own initiative, the actions of any board, committee, division or affiliated organization. Council is composed of representatives of divisions, representatives of state, provincial and territorial psychological associations (SPTAs) and the members of the Board of Directors.

APA Counsel Representative Elect

This is the APA Counsel Representative who has been selected to fulfill the role of Representative and is in a training and mentorship role with the current APA Counsel Representative.

Student Representative

This person is a graduate student in psychology who has been selected to represent student issues on the APA board. The Student Representative is a voting member of the board

Student Representative Elect

This is the next Student Representative who has selected to fulfill the role of Student Representative and is in a training and mentorship role with the current Student Representative.

Executive Director

An ex-officio member of the Board.

Director of Professional Affairs

An ex-officio members of the Board.


A majority of the elected members of the Board constitute a quorum for the transaction of the business of the Board. Voting by the Board may occur in person or through electronic means.

Terms of Office

Board members serve a three-year term with a few exceptions. The President enters office as president-elect, serves as president for one year, and then rotates into the past-president position. The Student Representative enters offices as student representative-elect and then serves as student representative for one year.


Positions are filled through annual elections. You may nominate yourself for a position or someone else. The Nominating Committee selects at least two nominees for each vacancy on the Board of Directors and presents the nominations to the Board. Fewer than two nominees per office requires approval. Ballots are sent to the UPA membership in April and election results are announced at the annual spring business meeting held in May. The newly elected are invited to the annual Board retreat in June and formally take office on July 1.
